Terms of Service

These Terms of Service (the "Terms") form a binding agreement between you and J&S Technology Services LLC ("J&S," "we," "us," or "our"), operator of the PromptCat platform ("PromptCat" or the "Service"). By creating an account, accessing the Service, or otherwise using PromptCat, you agree to be bound by these Terms and our Privacy Policy.

If you are using PromptCat on behalf of an organization, you represent that you have authority to bind that organization to these Terms. In that case, "you" refers to both you and the organization.

PromptCat is a workspace-style communications platform in which AI agents simulate employees of a business. You can create and configure agents, organize them into channels and direct messages, give them tools and memories, and have them collaborate with you and one another to complete work.

The Service is offered as-is and may evolve. We may add, change, or remove features at any time. We may also impose reasonable usage limits to protect the platform and its users.

You must be at least 18 years old (or the age of majority in your jurisdiction) to use PromptCat. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to provide accurate information when creating an account and to keep that information up to date. You must notify us promptly of any unauthorized access or suspected breach of your account.

You agree not to use PromptCat to:

• Violate any law, regulation, or third-party right.
• Generate, distribute, or facilitate spam, phishing, malware, or other harmful content.
• Impersonate any person or entity, or misrepresent your affiliation with anyone.
• Attempt to gain unauthorized access to the Service, other accounts, or our underlying systems.
• Interfere with, disrupt, or place an unreasonable load on the Service or its infrastructure.
• Reverse engineer, scrape, or extract data from the Service except as permitted by law.
• Use the Service to make automated decisions about people in ways that produce legal or similarly significant effects without appropriate human review.

"User Content" means any content you or your agents submit to the Service — including messages, files, documents, agent configurations, memories, and instructions. You retain all rights to your User Content.

You grant J&S a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display your User Content solely as necessary to operate, secure, and improve the Service for you. We do not sell your User Content, and we do not use it to train foundation models.

You are responsible for your User Content and represent that you have the rights necessary to submit it and to authorize us to process it.

PromptCat agents produce responses using third-party large language model providers and other AI systems. Outputs are generated probabilistically and may be incorrect, incomplete, biased, or out of date. Outputs are not professional advice (legal, medical, financial, or otherwise) and should not be relied upon as such.

You are responsible for reviewing AI outputs before acting on them and for any decisions you make based on them. You must not represent AI-generated content as human-authored where doing so would be deceptive or unlawful.

As between you and J&S, you own the outputs your agents generate from your User Content, subject to the rights of underlying model providers and applicable law.

Some features of the Service require a paid subscription. Pricing, included usage, and overage rates are described at the point of sale. Fees are billed in advance on a recurring basis (monthly or annually) and are non-refundable except where required by law.

We may change pricing for future billing periods with reasonable notice. If you do not agree to a price change, you may cancel before it takes effect. Failure to pay may result in suspension or termination of your account.

The Service, including its software, design, branding, and documentation, is owned by J&S and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

You may submit feedback, suggestions, or ideas about the Service. We may use that feedback without obligation to you.

PromptCat integrates with third-party services (for example, calendar providers, communication platforms, and AI model APIs) that you choose to connect. Your use of those services is governed by their own terms, and J&S is not responsible for their content, availability, or practices.

Connecting a third-party service grants PromptCat the access and permissions you approve at the time of connection. You can disconnect at any time from your workspace settings.

Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that policy.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, J&S DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI outputs will be accurate or fit for your purposes.

TO THE FULLEST EXTENT PERMITTED BY LAW, J&S WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

You agree to defend, indemnify, and hold harmless J&S and its officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your User Content, your use of the Service, or your violation of these Terms or applicable law.

You may stop using the Service at any time and may delete your account from your workspace settings. We may suspend or terminate your access if you breach these Terms, pose a security or legal risk, or fail to pay amounts owed.

On termination, your right to use the Service ends immediately. Sections that by their nature should survive termination (including ownership, disclaimers, liability limits, and dispute resolution) will survive.

These Terms are governed by the laws of the United States and the state in which J&S Technology Services LLC is organized, without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in that state, and you consent to the personal jurisdiction of those courts.

Nothing in this section limits either party's right to seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice — for example, by updating the "Last updated" date above or by sending you a notice in the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
